We are NOT a registered stockbroker, investment advisor, portfolio manager, research analyst, or financial intermediary under the Securities and Exchange Board of India (SEBI), the Reserve Bank of India (RBI), or any equivalent regulatory authority in any jurisdiction. 1. Acceptance of Terms
By accessing or using CapXone (the "Platform"), creating an account, subscribing to any plan, or integrating any third-party broker account, you ("User") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Risk Disclosure.
If you do not agree with any part of these Terms, you must not access or use the Platform.
2. Platform Description
CapXone is a technology platform that provides tools for algorithmic trading, strategy backtesting, market data visualisation, copy trading infrastructure, and trade journaling. The Platform acts solely as a software intermediary between users and their chosen brokers.
CapXone does not:
- Execute trades on your behalf as a discretionary manager
- Hold, custody, or transmit your funds
- Provide investment advice, recommendations, or buy/sell signals intended as financial advice
- Guarantee profits or specific trading outcomes
- Act as a clearing house or depository participant
All trading decisions, including those triggered by automated strategies configured on the Platform, are entirely your own. You retain full control and responsibility for your broker accounts and the orders placed through them.
3. Eligibility
- You must be at least 18 years of age (or the age of majority in your jurisdiction).
- You must have the legal capacity to enter into a binding contract.
- You must be legally permitted to trade financial instruments in your jurisdiction.
- You must have an active account with a supported broker to use trade execution features.
- Residents of jurisdictions where use of this Platform is prohibited by law may not register or use the Platform.
4. User Accounts
You are responsible for maintaining the confidentiality of your credentials. You agree to notify us immediately of any unauthorised access at [email protected].
Each account is for individual use only. Sharing credentials with third parties is prohibited. You may not create multiple accounts to circumvent plan limits or restrictions.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or attempt to abuse the Platform.
5. Broker Integration
CapXone integrates with third-party stockbrokers and cryptocurrency exchanges via their published APIs (e.g., Zerodha Kite, Angel One, Upstox, Dhan, Fyers, Delta Exchange, Binance). By connecting a broker account you:
- Confirm you hold a valid, KYC-compliant account with that broker
- Authorise CapXone to send order instructions to that broker on your behalf
- Accept that all executions, fills, rejections, and slippage are governed by your broker's terms and conditions
- Acknowledge that CapXone is not responsible for broker downtime, API errors, order rejections, or partial fills
- Accept full responsibility for API keys stored on the Platform (keys are encrypted at rest)
CapXone is not affiliated with any broker listed on the Platform. Third-party broker APIs, pricing, and availability may change without notice.
6. Market Data
Market data (prices, indices, options chains, charts) displayed on CapXone is sourced from third-party data providers and broker APIs. This data is:
- Indicative only — not guaranteed to be real-time, accurate, or complete
- Subject to delays, errors, and feed interruptions
- Not to be relied upon as the sole basis for any trading decision
CapXone disclaims all liability for losses arising from data errors, delays, or unavailability.
7. Payments & Refund Policy
Subscription Fees
CapXone subscription plans are billed monthly or annually as selected at checkout. Payments are processed by Razorpay (India, INR) or NOWPayments (Global, USDT). By subscribing you authorise the applicable payment amount.
Refund Policy
Refund Window: Refund requests must be submitted within 24 hours of payment. After 24 hours, subscription fees are non-refundable.
How to claim: Email [email protected] with your registered email address and order ID. Include the reason for your refund request. We will process eligible refunds within 5–7 business days.
Not eligible for refund: Partial-month usage, annual plans after 24 hours, plan upgrades, or accounts terminated for violations of these Terms.
Payment disputes initiated directly with your bank or payment provider, without first contacting us, may result in account suspension pending resolution.
8. Prohibited Use
You agree not to use the Platform to:
- Engage in market manipulation, front-running, spoofing, or layering
- Violate any applicable securities laws or exchange regulations
- Attempt to reverse-engineer, scrape, or exploit the Platform's APIs or code
- Conduct denial-of-service attacks, brute force attacks, or any security testing without prior written consent
- Share, resell, or sublicense access to the Platform
- Use automated tools to abuse free trial periods
9. Intellectual Property
All software, code, designs, algorithms, AI models, documentation, and content on the Platform are the exclusive property of CapXone Technologies and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for personal trading purposes only.
Your own trade data and strategies remain your property. By using the Platform, you grant CapXone a limited licence to process this data solely for the purpose of providing the service.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
- CapXone is provided "as-is" without warranties of any kind, express or implied
- CapXone shall not be liable for any trading losses, missed opportunities, or financial harm arising from use of the Platform
- In no event shall CapXone's aggregate liability exceed the subscription fees paid by you in the three months preceding the claim
- CapXone is not liable for third-party broker failures, API outages, exchange disruptions, or regulatory actions
11. Indemnification
You agree to indemnify and hold harmless CapXone Technologies, its directors, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your broker account activity, or your violation of these Terms.
12. Termination
Either party may terminate this agreement at any time. You may close your account via account settings or by emailing [email protected]. Upon termination, your access to paid features ceases immediately. Your data will be retained for 30 days and then permanently deleted, except where required by law.
We may suspend or terminate your account without notice if we determine, at our sole discretion, that you have violated these Terms or applicable laws.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
The Information Technology Act 2000, the Consumer Protection Act 2019, and the (proposed) Digital Personal Data Protection Act 2023 apply where relevant.
14. International Users
Users outside India access the Platform voluntarily and are solely responsible for ensuring compliance with all applicable local laws, including securities laws, data protection regulations (e.g., GDPR in the EU, CCPA in California), and foreign exchange regulations.
CapXone does not specifically target users in jurisdictions where this Platform would be prohibited. If you are located in such a jurisdiction, you must not use the Platform.
For EU/EEA residents: this Platform is not registered or regulated under MiFID II, ESMA, or any EU financial regulatory framework.
For US residents: this Platform is not registered with the SEC, CFTC, NFA, or FINRA and does not offer services regulated under US securities or commodities laws.
15. AlgoEngine — Personal Use & Marketplace Requirements
AlgoEngine is provided for personal trading use only. Building, running, or sharing automated strategies through CapXone AlgoEngine in any manner that constitutes a commercial advisory or signal-selling service — without holding the required regulatory licences — may violate SEBI regulations and equivalent securities laws in other jurisdictions.
15.1 What AlgoEngine Is
CapXone AlgoEngine is a personal strategy-building and automated execution tool. It enables users to design rule-based trading strategies, backtest them against historical data, and deploy them to execute orders in their own broker accounts via the broker's published API. AlgoEngine is a software tool — it does not provide investment advice, manage funds, or exercise any discretion over your account independently of the rules you define.
15.2 Personal Use — Default Permitted Mode
AlgoEngine is licensed for personal use only in its current form. This means:
- Strategies built on AlgoEngine may only be deployed to trade your own broker account, or accounts of your immediate family members, consistent with SEBI's February 2025 algorithmic trading circular.
- You may not use AlgoEngine to run automated strategies on behalf of third parties, clients, or any persons outside your immediate family without prior written approval from CapXone.
- You may not sell, rent, license, or otherwise distribute access to your AlgoEngine strategies or their outputs to any other person or entity.
- Sharing strategy logic, webhook signals, or execution outputs with others for commercial gain — without the required regulatory licences — is prohibited.
15.3 SEBI Compliance — India
Under SEBI's algorithmic trading framework (effective August 2025 / October 2025), the following requirements apply to Indian users of AlgoEngine:
- Strategies executing below the exchange-defined order frequency threshold (currently 10 orders per second) for your own account do not require exchange registration.
- Strategies that exceed the order frequency threshold, or are made available to other users in any form, must be registered with a recognised stock exchange through a SEBI-registered broker partner. CapXone will facilitate this process for eligible users on request.
- Any strategy offered commercially to third parties — whether as a subscription signal, white-label algo, or otherwise — requires the strategy provider to hold a SEBI Research Analyst (RA) licence if the strategy logic is not fully disclosed, or to be empanelled as an algo vendor through a SEBI-registered broker.
- CapXone is not responsible for ensuring your specific use of AlgoEngine complies with SEBI regulations. You are solely responsible for obtaining any licences, registrations, or approvals required for your intended use.
15.4 Future Strategy Marketplace — Verified Users Only
CapXone may introduce a Strategy Marketplace feature in the future, enabling users to publish, share, or monetise their AlgoEngine strategies. When and if this feature is activated, participation as a strategy publisher will be restricted to users who meet all of the following requirements:
- India: Must hold a valid, current SEBI Research Analyst (RA) registration, or be empanelled as a verified algo vendor with a SEBI-registered stock exchange, as required under applicable SEBI circulars at the time of publication.
- Global (all other jurisdictions): Must hold the equivalent financial services licence or regulatory approval required in their country of operation to legally publish, distribute, or monetise automated trading strategies or signals (e.g., FCA authorisation in the UK, SEC/FINRA registration in the US, MiFID II licence in the EU/EEA, ASIC licence in Australia, and equivalent authorities elsewhere).
- Must complete CapXone's verification and onboarding process for Marketplace publishers, including submission of licence details, identity verification, and agreement to Marketplace-specific terms.
- Must maintain their licence or registration in good standing. Any suspension, cancellation, or lapse will result in immediate removal from the Marketplace.
Unregistered or unlicensed users will not be permitted to publish strategies on any public Marketplace, regardless of strategy performance or user demand. Subscribers to Marketplace strategies will be clearly informed of the publisher's regulatory status at the time of subscription.
15.5 User Responsibilities
- You are solely responsible for testing, validating, and monitoring every strategy you build and deploy through AlgoEngine.
- You must implement appropriate risk controls — including position limits, stop-losses, and maximum daily loss caps — before deploying any live strategy.
- You must maintain the ability to manually override or halt any automated strategy at all times, independently of CapXone.
- CapXone is not liable for any trading losses, regulatory penalties, or legal consequences arising from your use of AlgoEngine, including losses caused by strategy logic errors, overfitting, connectivity failures, or regulatory non-compliance.
16. CopyTrade — Permitted Use & Licence Requirements
Read this section carefully before activating or using CopyTrade features. Use of CopyTrade in any manner that violates these conditions may result in immediate account suspension and may expose you to regulatory action by SEBI or equivalent authorities in your jurisdiction.
16.1 What CopyTrade Is
CapXone CopyTrade is a private signal-sharing tool. It allows one user (the "Master") to broadcast their own trade signals — originating from their own broker account — to other users (the "Children") who have been personally invited by that Master. The Platform transmits signals only. CapXone does not place, manage, modify, or cancel orders in any user's broker account at any time.
All copy actions require an explicit, affirmative step by the Child user. The Child's own broker executes any resulting order entirely under the Child's direction. CapXone exercises no investment discretion over any account.
16.2 Friends & Family Use — Default Permitted Mode
In its current form, CopyTrade is designed and permitted exclusively for use within a circle of people who share a pre-existing personal relationship — such as immediate family members, close friends, or colleagues. This is consistent with the exemption available under SEBI's February 2025 algorithmic trading circular, which permits personal algo use within family and known circles without registration.
- Masters may only invite individuals they personally know.
- Invite codes and links must not be posted publicly, shared in open groups, or distributed to strangers.
- CopyTrade desks are private by default and do not appear in any public listing, search result, or leaderboard.
- Masters are not acting as registered investment advisers, research analysts, or portfolio managers by using this feature within permitted personal circles.
16.3 Professional & Managed Account Use — Approval Required
If you intend to use CopyTrade for any of the following purposes, you must obtain prior written approval from CapXone before activating the feature:
- Managing or sharing signals with clients, customers, or any persons you do not have a pre-existing personal relationship with
- Operating as a SEBI-registered Research Analyst (RA), Investment Adviser (IA), or Portfolio Management Service (PMS) provider, or equivalent regulated entity in any other jurisdiction
- Charging fees, commissions, or profit-sharing arrangements to persons outside your immediate personal circle
- Managing accounts on a commercial or semi-commercial basis under any arrangement
To apply for professional or managed account use, email [email protected] with the subject line "CopyTrade — Professional / Managed Account Approval". You must provide:
- Your SEBI registration number (RA / IA / PMS) or equivalent regulatory licence details for your jurisdiction
- A description of your intended use case and client base
- Confirmation that you hold all licences required by applicable law for the activities you intend to perform
CapXone reserves the right to approve or decline applications at its sole discretion. Approved accounts will be subject to additional terms and compliance requirements communicated at the time of approval.
16.4 Future Leaderboard Feature
CapXone may introduce a public CopyTrade Leaderboard feature in the future. When activated, participation in the Leaderboard will be strictly restricted to Masters who meet all of the following criteria:
- India: Must hold a valid, current registration as a SEBI-registered Research Analyst (RA), Investment Adviser (IA), or Portfolio Management Service (PMS) provider. Registration number must be verified and on record with CapXone.
- Global (all other jurisdictions): Must hold the equivalent financial services licence required in their country of operation to legally share trade signals or manage third-party accounts (e.g., FCA authorisation in the UK, SEC/FINRA registration in the US, MiFID II licence in the EU/EEA, ASIC licence in Australia, DFSA licence in the UAE, and equivalent authorities elsewhere).
- Must have completed CapXone's verification and onboarding process for Leaderboard participants.
- Must maintain their licence in good standing. Any suspension, cancellation, or lapse of the required licence will result in immediate removal from the Leaderboard.
Unregistered or unlicensed users will not be permitted on any public Leaderboard, regardless of trading performance. This restriction exists to protect Child users and to ensure Platform compliance with applicable securities regulations globally.
16.5 Master Responsibilities
- Masters are solely responsible for ensuring their use of CopyTrade complies with all applicable laws and regulations in their jurisdiction.
- Masters must not represent themselves as licensed advisers, analysts, or fund managers unless they hold the required licence and have obtained CapXone approval under clause 15.3.
- Masters must not guarantee returns, promise specific profit outcomes, or make misleading performance claims to Children.
- Masters acknowledge that their signals reflect their own personal trading activity and not professional investment advice.
16.6 Child Responsibilities
- Children are solely responsible for every trade they choose to copy. The decision to copy any signal, and the execution of the resulting order, rests entirely with the Child through their own broker.
- Children must not copy trades based solely on a Master's historical statistics. Past performance is not indicative of future results.
- Children must have a clear understanding of the instruments being traded and the risks involved before copying any signal.
- CapXone is not liable for any financial loss suffered by a Child as a result of copying any Master's signals.
16.7 Platform Role & Non-Liability
CapXone's role in CopyTrade is limited to: transmitting trade signals from Master to Child; displaying performance statistics based on historical closed trades; and providing the copy-confirmation interface through which Children place orders via their own broker. CapXone does not assess the suitability of any signal for any Child, does not verify the accuracy of Master-provided information, and does not intervene in or guarantee the outcome of any copied trade.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or in-app notification at least 7 days before the change takes effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
